ကမာၻ႔ဘဏ္က ထုတ္ျပန္လိုက္သည့္ ၂၀၁၄ ခုႏွစ္အတြက္ ရင္းႏွီးျမႇဳပ္ႏွံရန္ အခက္ခဲဆုံး ႏိုင္ငံမ်ားတြင္ ျမန္မာႏိုင္ငံ ပါဝင္ေနျခင္းေၾကာင့္ ျပည္ပစီးပြားေရး လုပ္ငန္းရွင္မ်ားႏွင့္ ျမန္မာအစိုးရတို႔ ပူးေပါင္း ေဆြးေႏြး အေျဖရွာမႈမ်ားကို ျပည္ေထာင္စုသမၼတ ျမန္မာႏိုင္ငံ ကုန္သည္မ်ားႏွင့္ စက္မႈလက္မႈ လုပ္ငန္းရွင္မ်ား အသင္းခ်ဳပ္တြင္ ဇူလိုင္လ ၂၇ရက္ေန႔က ျပဳလုပ္သည္။

စီးပြားေရး လုပ္ငန္းမ်ား၏ အခက္အခဲမ်ားကို ေျဖရွင္းႏိုင္ရန္ စီးပြားေရးႏွင့္ သက္ဆိုင္သည့္ ပုဂၢလိက အဖြဲ႕အစည္းမ်ားႏွင့္ သက္ဆိုင္ရာ ဝန္ႀကီးဌာနမ်ားမွ ညႊန္ၾကားေရးမွဴးအဆင့္ထက္ မနိမ့္သူမ်ားျဖင့္ လုပ္ငန္းအဖြဲ႕ (Working Group) မ်ား ဖြဲ႕စည္းမည္ ျဖစ္ေၾကာင္း၊ အခက္အခဲမ်ား ေျဖရွင္းႏိုင္ရန္ကိုလည္း ယခုေဆြးေႏြးပြဲမွ စတင္၍ တစိုက္မတ္မတ္ လုပ္ေဆာင္သြားမည္ ျဖစ္ေၾကာင္း ကုန္သြယ္မႈျမႇင့္တင္ေရး ဦးစီးဌာန ညႊန္ၾကားေရးမွဴးခ်ဳပ္ ဦးတိုးေအာင္ျမင့္က ေျပာၾကားသည္။

ယင္းအဖြဲ႕မ်ားျဖင့္ တစ္ပတ္လွ်င္တစ္ႀကိမ္ အလုပ္႐ုံေဆြးေႏြးပြဲမ်ား က်င္းပသြားမည္ ျဖစ္ေၾကာင္း ၎ကဆိုသည္။ အဆိုပါ ပူးေပါင္းေဆြးေႏြး အေျဖရွာပြဲတြင္ ျပည္ပစီးပြားေရး လုပ္ငန္းရွင္မ်ားက အႀကံျပဳေဆြးေႏြးခဲ့ၿပီး ျပည္တြင္း စီးပြားေရး လုပ္ငန္းရွင္မ်ားက စီးပြားေရးလုပ္ရာတြင္ အခက္အခဲမ်ား ေတြ႕ႀကံဳေနရပုံမ်ားကို ေဆြးေႏြးခဲ့ၾကေၾကာင္း ႏိုင္ငံေတာ္သမၼတ၏ စီးပြားေရးအႀကံေပး ေဒါက္တာေဇာ္ဦးက ေျပာၾကားသည္။

“ဒီေဆြးေႏြးပြဲလုပ္တာ ဒီညႊန္းကိန္းတက္ဖို႔ တစ္ခုတည္းကို ဦးတည္ဖို႔ လုပ္တာေတာ့ မဟုတ္ပါဘူး။ က႑ေပါင္းစုံ တိုးတက္ဖို႔အတြက္ ရည္႐ြယ္ၿပီး လုပ္တာပါ” ဟု ၎ကဆိုသည္။

ယင္းေနာက္ ေဒသတြင္း အေသးစား အလတ္စားလုပ္ငန္းမ်ား၊ စီးပြားေရးလုပ္ငန္းမ်ား လြယ္ကူစြာ လုပ္ကိုင္ႏိုင္ရန္ အတြက္လည္း ျမန္မာႏိုင္ငံ ရင္းႏွီးျမႇဳပ္ႏွံမႈေကာ္မရွင္က ေျဖေလွ်ာ့မႈမ်ား ျပဳလုပ္ေပးရန္ စီစဥ္လ်က္ရွိၿပီး ကုမၸဏီမွတ္ပုံတင္ရန္ အခက္အခဲမ်ားကိုလည္း လုပ္ငန္းရွင္မ်ားမွ တင္ျပလာသည္မ်ားကို ေျဖေလွ်ာ့ေပးသြားမည္ ျဖစ္ေၾကာင္း အဆိုပါေကာ္မရွင္ အတြင္းေရးမွဴး ဦးေအာင္ႏိုင္ဦးက ေျပာၾကားသည္။

“ဒီအစည္းအေဝးမွာ ကြၽန္ေတာ္တို႔ လုပ္ငန္းၾကန္႔ၾကာေနတဲ့ ကိစၥတခ်ိဳ႕ကို ေျဖေလွ်ာ့လိုက္ပါတယ္။ အရင္က ကုမၸဏီမွတ္ပုံတင္တဲ့အခါ ၇၂ ရက္ေလာက္ ၾကာတာကို သုံးရက္နဲ႔အၿပီး လုပ္ႏိုင္ေအာင္ ေျဖေလွ်ာ့ေပးခဲ့ပါတယ္။ အခုအစည္းအေဝးမွာေတာ့ အရင္းအႏွီး ဘယ္ေလာက္ပဲရွိရွိ ကုမၸဏီေထာင္ၿပီး လုပ္ငန္းလုပ္ႏိုင္ပါၿပီ” ဟု ၎က ေျပာဆိုသည္။ ယခုေဆြးေႏြးပြဲမွ ေကာင္းမြန္ေသာ ရလဒ္မ်ား ေပၚထြက္လာႏိုင္မည္ျဖစ္ၿပီး ကမာၻ႔ဘဏ္၏ ေနာက္ႏွစ္ Dosing Business ညႊန္းကိန္းတြင္လည္း တိုးတက္လာႏိုင္မည္ဟု ယုံၾကည္ေၾကာင္း ေဒါက္တာေဇာ္ဦးက ဆိုသည္။

“ကမာၻ႔ဘဏ္က ထုတ္ျပန္ခ်က္အရ ႏိုင္ငံေပါင္း ၁၉၀ ႏိုင္ငံမွာ ျမန္မာႏိုင္ငံက ၁၈၂ အဆင့္ကို ေရာက္ေနတယ္ ဆိုပါတယ္။ အဆင့္သတ္မွတ္ခ်က္က အရမ္းနိမ့္ေန႔တဲ့အတြက္ အစိုးရ တာဝန္ရွိသူေတြေရာ ပုဂၢလိကဘက္ကေရာ ႏိုင္ငံျခား စီးပြားေရး ပညာရွင္ေတြအကုန္လုံးက ဒီေန႔ေဆြးေႏြးပြဲမွာ အေျဖရွာၾကတာပါ။ ဒီေန႔ ေဆြးေႏြးပြဲရလဒ္က ေကာင္းပါတယ္။ အဖြဲ႕ေတြဖြဲ႕ၿပီးေတာ့ စီးပြားေရးေဆြးေႏြးပြဲေတြကို ႏွစ္ပတ္တစ္ႀကိမ္ လုပ္သြားမယ္လို႔လည္း သိရပါတယ္။ ဒါကေကာင္းတဲ့ လုပ္ရပ္တစ္ခုပါ။ ကြၽန္ေတာ္တို႔ ဘက္ကလည္း ပူးေပါင္း ပါဝင္ဖို႔ရွိပါတယ္” ဟု ေမာ္ေတာ္ယာဥ္ ျဖန္႔ျဖဴးေရာင္းခ်ေရးအသင္း ဒုတိယဥကၠ႒ ဦးေအာင္ေဇာ္ဦးက ေျပာၾကားသည္။

Below is a detailed summary of the bureaucratic and legal hurdles faced by entrepreneurs wishing to incorporate and register a new firm in Myanmar. It examines the procedures, time and cost involved in launching a commercial or industrial firm with up to 50 employees and start-up capital of 10 times the economy's per-capita gross national income.
This information was collected as part of the Doing Business project, which measures and compares regulations relevant to the life cycle of a small- to medium-sized domestic business in 189 economies. The most recent round of data collection was completed in June 2013.

Yangon is divided into 4 districts, and 33 townships. Each township is then divided into a certain number of wards, which is the smallest administrative unit grouping several households or ‘each block’. The ‘ward chief’ provides a letter confirming the address of the new business.

After obtaining the reference letter from the ward, the relevant township police station signs a letter containing your criminal history.

3Conduct a name check at the Company Registration Office (CRO) at the Directorate of Investment and Company Administration (DICA)

On the first visit to the CRO at the Yangon DICA office, and after having obtained the letters from the ward and police station, the proposed name for the new business must be checked and cleared. There is an electronic database since October 2012 that makes it easier to check and to complete this procedure within the same day. The request is made and depending on the workload the check will be done in either a few minutes or a few hours at most, in the meantime the business owner or representative can wait in the office.

Once the name check is complete, the following documents are automatically generated based on the info provided on the application form and are checked for accuracy by the applicant:
o Application form (company name, list of directors with ID# and addresses, start-up capital, address)
o Memorandum of Association (for local company, only Burmese version is required, though for English there is also a standardized format available)
o Business plan of activities
o Photocopy of the family certificate for each director (includes dates of birth, relationship, occupation, ID#, ethnicity, citizenship, religion). This is a standard form which each family already has in possession.
o Pledge of directors (affidavit)
o Ward reference letter
o Criminal history letter from the township police station

The applicant checks the accuracy of the generated documents, and goes back to the directors to obtain their signatures on the memorandum and articles of association.

7Obtain temporary certificate of incorporation

After making the payments, the applicant returns to the Company Registration Office to obtain the temporary certificate, which is generated automatically. It needs to be reviewed and signed by the Assistant Director and the Deputy Director of the CRO. This can be done in 1 day if all is ready and the directors are available, but usually takes a few more days. This temporary certificate allows entrepreneurs to begin operating the business immediately while waiting for the permanent certificate, and is valid for 6 months.

The Company Registration Office will carry out internal reviews in order to issue the permanent incorporation certificate. The file is sent to the Ministry of Home Affairs, where it is checked by the Bureau of Special Investigations (BSI) and the Police. The applicant is informed by the DICA when the definitive certificate is ready to be picked up. The applicant can follow up by phone on the status of the application. The certificate is valid for 5 years.

Registration for commercial tax (similar to VAT): companies are obliged to register with the tax authorities one month before the start of their business if the business is expected to generate turnover subject to commercial tax (a broad array of products fall into this category, including manufactured goods). Furthermore, within 10 days of starting a business the tax authorities should also be informed.

DICA compiles a list of newly registered companies each month and sends this information to the relevant townships where the businesses are located.
